These Terms & Conditions (“Terms”) govern your access to and use of cygnijewels.com (the “Site”), owned and operated by Cygni Jewels LLC (“Cygni,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Site.

Important: These Terms include a binding arbitration agreement and class action waiver. Please review Section 15 carefully.

The Site is intended for individuals 18 years of age or older.

Our Commitment to Accuracy

We present our collections with care and precision. However, we do not warrant that product descriptions, imagery, pricing, or other content are free from error, complete, or current.

Fine jewelry photography may magnify details; actual dimensions and color may vary slightly due to display settings and craftsmanship characteristics.

We reserve the right to modify, correct, or discontinue any product or content without notice.

Ownership & Intellectual Property

All content on the Site — including designs, imagery, logos, text, graphics, and software — is the exclusive property of Cygni or its licensors and is protected under applicable intellectual property laws.

Your access to the Site grants you a limited, revocable, non-transferable license for personal, non-commercial use only.

You may not reproduce, distribute, modify, reverse engineer, frame, or commercially exploit any content without our prior written consent.

Unauthorized use may result in termination of access and legal action.

Account Registration

Certain features may require account registration. You agree to provide accurate information and maintain the confidentiality of your login credentials.

You are responsible for all activity under your account.

We reserve the right to suspend or terminate accounts at our discretion.

Submissions & Feedback

If you submit reviews, images, feedback, or other materials (“Submissions”), you retain ownership but grant Cygni a worldwide, perpetual, royalty-free license to use, reproduce, and display such content in connection with our business.

You represent that your Submissions do not infringe upon the rights of others.

Pricing & Payment

Prices are displayed in U.S. dollars and are subject to change without notice.

Taxes, duties, and international fees are not included unless stated.

We reserve the right to correct pricing errors and cancel orders arising from such errors.

Payment must be made using authorized payment methods presented at checkout. By submitting payment, you confirm authorization to use that method.

Shipping & Risk of Loss

Delivery timelines are estimates and not guaranteed.

Title and risk of loss transfer upon confirmed delivery to the shipping address provided.

For shipments valued at $1,000 or less (pre-discount), signature confirmation may not be required. In such cases, the customer assumes responsibility upon confirmed delivery.

If tracking indicates delivery, any claim of non-receipt must be reported within two (2) business days.

International Orders

International customers are responsible for all customs duties, import taxes, and compliance with local regulations.

Delivery times may vary due to customs processing.

Returns & Exchanges

All returns and exchanges are governed by our separate Return Policy, which forms part of these Terms.

Third-Party Services

The Site may contain links to third-party websites or services. Cygni is not responsible for the content, policies, or practices of third parties.

Disclaimer of Warranties

The Site and all products are provided “as is” and “as available.”

To the fullest extent permitted by law, Cygni disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free access to the Site.

Limitation of Liability

To the maximum extent permitted by law:

• Cygni shall not be liable for indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the greater of:
  • $100, or
  • The amount paid for the product giving rise to the claim.

Any claim must be brought within two (2) years of accrual.

Your sole remedy for dissatisfaction with the Site is to discontinue use.

Indemnification

You agree to indemnify and hold Cygni harmless from any claims arising from:

• Your violation of these Terms
• Misuse of the Site
• Your Submissions
• Violation of any applicable law

Governing Law

These Terms are governed by the laws of the State of New York and the Federal Arbitration Act, without regard to conflict-of-law principles.

Force Majeure

Cygni shall not be liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, government actions, supply chain disruptions, or similar circumstances.

Dispute Resolution & Binding Arbitration

Any dispute arising from or relating to these Terms or the Site shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You waive:

• The right to a jury trial
• The right to participate in class or representative actions

Before initiating arbitration, you agree to attempt informal resolution by contacting:

You may opt out of arbitration within 30 days of first use of the Site by written notice.

Small claims court actions remain permitted where applicable.

Electronic Communications

You consent to receive communications electronically. Electronic communications satisfy any requirement for written notice.

Entire Agreement

These Terms, together with referenced policies, constitute the entire agreement between you and Cygni regarding the Site.

If any provision is found unenforceable, the remaining provisions remain in effect.
